Terms of Service

The short version

You own your photos. You're responsible for what you upload and for getting permission from people in those photos. We host the Service "as-is" and limit our liability to the small amounts you've paid us. Don't upload illegal, infringing, or abusive content. Either side can end the agreement at any time.

1. Acceptance of terms

By creating an account or using Memories Online (the "Service") at we-make-memories.com, you agree to these Terms of Service ("Terms"). If you do not agree, do not use the Service. The Service is operated by We Make Memories ("we," "us," or "our").

2. Eligibility

You must be at least 13 years old to use the Service. If you are between 13 and the age of majority in your jurisdiction, you must have permission from a parent or legal guardian. By using the Service, you represent that you meet these requirements.

3. The Service

Memories Online lets you create events, invite guests to upload photos via a share code, play those photos as a slideshow, and optionally sync them to Google Drive or Dropbox. Specific features are described on we-make-memories.com and may change as we improve the Service.

4. Accounts

  • You are responsible for maintaining the confidentiality of your account credentials.
  • You are responsible for all activity under your account.
  • Notify us immediately at privacy@we-make-memories.com if you believe your account has been compromised.
  • You may delete events you own at any time from the Library page, and may request full account deletion by contacting us.

5. Your content

5.1 You own your content

You retain all ownership rights to the photos, captions, comments, and other content you upload ("Your Content"). We do not claim ownership of Your Content.

5.2 Limited license to operate the Service

To run the Service for you, you grant us a worldwide, non-exclusive, royalty-free license to host, store, transmit, display, reproduce, and create derivative works of Your Content (for example, generating thumbnails, web-optimized versions, and ZIP exports). This license is limited to operating, providing, and improving the Service, and ends when you delete the content or your account (subject to backup retention windows described in our Privacy Policy).

5.3 Sharing with guests

When you create an event and share its code, you grant invited guests the ability to view, upload to, react to, and comment on that event. You are responsible for who you share the code with.

5.4 You are responsible for permissions

You represent and warrant that you have all necessary rights to upload Your Content, including permission from people who appear in photos when required by law in your jurisdiction. Don't upload content that violates someone else's privacy, publicity, copyright, or other rights.

6. Acceptable use

You agree not to:

  • Upload content that is illegal, infringing, defamatory, harassing, hateful, sexually explicit, or that exploits or endangers minors.
  • Upload malware, viruses, or any content designed to disrupt or damage the Service.
  • Attempt to access accounts, events, or data you don't own without authorization.
  • Reverse engineer, scrape at scale, or otherwise abuse the Service or its APIs.
  • Resell or sublicense the Service without our written permission.
  • Use the Service to send unsolicited messages or spam.

7. Moderation and removals

We reserve the right (but have no obligation) to review, refuse, or remove content that we believe violates these Terms or applicable law. Event hosts can configure moderation settings for their own events. We do not pre-screen guest uploads in general.

If you believe content on the Service infringes your copyright, contact us at privacy@we-make-memories.comwith a notice that includes the information required by the U.S. Digital Millennium Copyright Act ("DMCA").

8. Third-party services

The Service can connect to third-party services like Google Drive, Dropbox, and Shutterfly. Your use of those services is governed by their own terms and privacy policies. We are not responsible for the availability or behavior of third-party services. Disconnecting them, where available, is your choice.

Memories Online participates in the Shutterfly affiliate program. If you choose to order a printed photo book through our integration, we may earn a small commission at no extra cost to you. We disclose these partnerships when present.

9. Pricing and payments

The core Service is free to use. Optional paid features and partner integrations (such as printed photo books) may carry their own charges, which will be disclosed at the point of purchase. We do not auto-convert free users to paid plans.

10. Termination

You may stop using the Service at any time and may delete your events or account at any time. We may suspend or terminate your access if you materially breach these Terms, if we are required to by law, or if continued operation creates a security or legal risk. We will use reasonable efforts to give notice when feasible.

On termination, the rights and licenses granted to you under these Terms end. Sections that by their nature should survive termination (ownership, disclaimers, limitation of liability, indemnity, governing law) will survive.

11. Disclaimers

The Service is provided "AS IS" and "AS AVAILABLE," without warranties of any kind, whether express, implied, statutory, or otherwise, including without limitation any implied warranties of merchantability, fitness for a particular purpose, title, or non-infringement.

We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components, or that data loss will not occur. You are responsible for keeping your own copies of important content.

12. Limitation of liability

To the maximum extent permitted by law, in no event will We Make Memories or its affiliates, officers, employees, agents, or licensors be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, data, goodwill, or other intangible losses, arising from or related to your use of the Service.

Our total cumulative liability for all claims arising from or relating to the Service is limited to the greater of (a) the amounts you paid us in the twelve months before the event giving rise to the claim, or (b) one hundred U.S. dollars (USD $100).

Some jurisdictions do not allow the exclusion of certain warranties or limitations of liability, so some of the above may not apply to you.

13. Indemnification

You agree to indemnify and hold harmless We Make Memories and its affiliates, officers, employees, and agents from any claim, demand, loss, or damage (including reasonable attorneys' fees) arising out of or related to (a) Your Content, (b) your use of the Service, (c) your violation of these Terms, or (d) your violation of any third-party right, including any intellectual property or privacy right.

14. Governing law and disputes

These Terms are governed by the laws of the State of Illinois, without regard to its conflict-of-laws principles. You and We Make Memories agree that any dispute arising out of or related to these Terms or the Service will be resolved exclusively in the state or federal courts located in Illinois, and you consent to the personal jurisdiction of those courts.

15. Changes to these Terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date at the top. For material changes we will provide more prominent notice (such as an in-app notice or email). Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
